The purpose of this work is to systematically present the current legal framework for sports companies, outlining the main challenges facing this special type of commercial company. Among others, the following topics are covered: the concept of a sports company, the admissible corporate types and their formation; financing by shareholders and third parties, as well as the insolvency of the sports company; the regime for participation in a sports company and the protection regime for the founding club; the composition and operation of its administrative body; and the applicable sanctioning regime.
In this context, the legislative evolution that occurred in 2023, with Law no. 39/2023, of August 3, is considered, always taking into account the legislative changes observed in other legal systems. This study is also complemented by the analysis of specific cases and the (scarce) relevant jurisprudence, whenever justified.
